TERMS AND CONDITIONS
1. Seller Information
The seller is Viviana Cloud Ltd (company number 12747844), a private limited company incorporated in England and Wales, with registered office at: The Beren, Blisworth Hill Business Park, Stoke Road, Blisworth, Northamptonshire, England, NN7 3DB Contact: support@vivianacloud.com
2. Nature of Transaction
The €99 payment is a reservation fee only. It is not a purchase of goods. It secures priority access to purchase one (1) unit of the Product when available, and will be deducted from the final purchase price.
3. Offer Period
This reservation offer is available until 31 May 2026. The Company reserves the right to withdraw or amend the offer at any time prior to acceptance.
4. Reservation Fee and Refundability
The €99 Reservation Fee is fully refundable, including:
- upon your request at any time before completing a final purchase;
- if you choose not to complete the purchase;
- if, following notification under clause 9, you elect not to maintain your reservation.
Refunds will be made to the original payment method within 14 days of request.
5. Cooling-Off Rights (UK/EU Consumers)
Under the Consumer Contracts Regulations 2013, you have the right to cancel this reservation within 14 days of payment without giving any reason and receive a full refund.
6. Pricing
The final retail price of the Product has not yet been confirmed. The €99 Reservation Fee represents approximately 10% of the anticipated retail price. Reservation holders will be offered a preferential early-access price, and the €99 fee will be deducted from the final amount due.
Final pricing will be communicated to reservation holders ahead of the product launch, at which point you will have the opportunity to confirm your purchase or request a full refund of your Reservation Fee.
Prices are displayed exclusive of VAT. VAT, shipping, and applicable import duties will be calculated at checkout based on your delivery location.
7. Availability and Allocation
Reservations are limited and allocated on a first-come, first-served basis. A reservation guarantees priority access only, not guaranteed supply.
8. Expected Timeline
The Product is planned for release in Q4 2026. “Shipment” means dispatch from the Company’s warehouse. Timelines are indicative and may change due to manufacturing, regulatory, or supply chain constraints.
9. Delay Notification
If the Product has not been shipped by 31 December 2026, the Company will contact all reservation holders to provide a status update and revised timeline. At that point, each reservation holder may elect to:
- maintain their reservation under the updated timeline; or
- cancel and receive a full refund of their €99 Reservation Fee.
Refunds elected under this clause will be processed within 14 days.
10. Final Purchase
When the Product becomes available, reservation holders will be invited to complete their purchase by paying the remaining balance (final price less the €99 already paid), plus applicable VAT and shipping.
If you do not complete your purchase within the specified window:
- your reservation and priority access will lapse;
- the early-access price will no longer apply;
- your right to request a refund of the €99 Reservation Fee is unaffected.
11. Product Changes
The Company may make non-material modifications to the Product’s design or specifications without notice. If any changes are material, you will be notified and retain the right to cancel and receive a full refund of your Reservation Fee.
12. Liability
Nothing in these terms excludes or limits liability where it would be unlawful to do so, including under the Consumer Rights Act 2015. To the extent permitted by law, the Company’s liability is limited to foreseeable losses and capped at the amount paid by you.
13. Governing Law
These terms are governed by the laws of England and Wales. Nothing in these terms affects any mandatory consumer protections applicable in your country of residence.
